The Procedures guide allows entrepreneurs and decision-makers to have a reliable, precise and up to date overview of legal procedures and measures concerning commercial formalities to be undertaken. It is broken down into 6 sections in which you can find information and documentation required for formalities with Registry Offices at the Commercial Courts.

Total cessation of activities, temporary or definitive

The completed file allowing for the modifying formality in the Trade and Companies Register (RCS) linked to a cessation of a business activity of an individual business owner, must be filed within the month following such event (Articles R. 123-45 and R. 123-46 of the Commercial Code): either

  • at the competent Commercial Formality Centre (CFE); or
  • directly at the registry office of the commercial courtin application of Article R. 123-5 of the Commercial Code (procedure known as "Article 3" of Decree No. 96-650 of 19 July 1996).

Supporting documents to attach to the file

The P2 CMB printed forms duly completed and signed.

An original power of attorney from the individual business owner if he or she has not signed the P2 CMB forms.

The formality relating to cessation of the business activity, whether temporary or permanent, by an individual business owner provides the possibility for declaring maintenance of the registration at the Trade and Companies Register (RCS) during a maximum period of a year. In the event of permanent cessation of a business activity, there is no possibility of renewal of this one year period, as provided in Article R. 123-46 of the Commercial Code for temporary cessation.

The individual business owner cannot keep secondary establishments after having declared the cessation of the business activity of her/his principal establishment.

Attach a cheque of 104.34 euros.

Cheques must be made payable to the relevant GREFFE DU TRIBUNAL DE COMMERCE, and attached to the application.
