Filing a legal instrument the business purpose

The modification of the business purpose set forth in the Trade and Companies Register (RCS) is only effective upon separate filing of the legal instrument with the RCS.

Steps preliminary to the filing of the formality

Hold a partners meeting approving the modification of business purpose. Publish an announcement of change in business purpose in a journal of legal announcements.

Legal instruments to be separately produced to the RCS

A copy of the minutes of meeting deciding the modification of business purpose certified as conforming by the legal representative.

A copy of the current by-laws, dated and certified by the legal representative.
